These Terms of Use and Arbitration Agreement ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MIS LLC, a New Jersey limited liability company ("MIS LLC," "Company," "we," "our," or "us"), governing your access to and use of the Good Crossings website, mobile applications, software, and all related products, features, content, communications, and services (collectively, the "Service").
Please read these Terms carefully before using the Service. By accessing, browsing, creating an account, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies or guidelines incorporated by reference.
If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By accessing or using the Service, you represent that you have the legal authority to enter into this Agreement.
You agree that these Terms constitute an enforceable contract between you and MIS LLC.
These Terms apply whenever you:

- create an account;
- purchase a subscription;
- communicate with other users;

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Our Service
Good Crossings is a social networking platform designed to help adults develop meaningful, interest-based relationships.
Unlike appearance-driven social platforms, Good Crossings emphasizes shared interests, hobbies, values, activities, goals, and communities.
The Service may facilitate introductions involving:
- friendships;
- networking;
- mentorships;
- activity partners;
- volunteer opportunities;
- professional relationships;
- community engagement;
- other lawful social interactions.
The Service is intended solely as a platform for facilitating introductions and communications between users.
MIS LLC is not an employment agency, matchmaking service, background investigation company, counseling service, or professional referral service.
MIS LLC does not guarantee that any interaction will result in a successful relationship, meeting, opportunity, friendship, or other desired outcome.
4. Eligibility
You may use the Service only if all of the following are true:
- You are at least eighteen (18) years of age.
- You possess legal capacity to enter into a binding contract.
- You are not prohibited from using the Service under applicable law.
- Your account has not previously been terminated by MIS LLC for violation of these Terms.
- You are not using the Service on behalf of a sanctioned person or entity.
- You are not located in a country subject to comprehensive U.S. sanctions unless authorized by applicable law.
The Service is intended exclusively for adults.
The Service is not directed to children and is not intended for individuals under eighteen (18) years of age.
MIS LLC does not knowingly collect personal information from children.
If we learn that an account belongs to an individual under eighteen years of age, we may immediately suspend or permanently terminate the account and remove associated information without prior notice.
5. Privacy Policy
Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information.
The Privacy Policy is incorporated into these Terms by reference and forms part of this Agreement.
By using the Service, you acknowledge that you have reviewed the Privacy Policy and consent to our collection and processing of personal information in accordance with applicable law.
In the event of any conflict between these Terms and the Privacy Policy regarding legal obligations relating to personal information, the Privacy Policy shall govern solely with respect to those matters.
6. Definitions
For purposes of these Terms:

- transfer your account to another person;
- allow another individual to access your account without authorization.
MIS LLC reserves the right to refuse registration, suspend an account, require identity verification, or terminate an account at any time if we reasonably believe the information provided is inaccurate, fraudulent, misleading, incomplete, or otherwise violates these Terms.
8. Account Security
You are solely responsible for safeguarding your username, password, authentication credentials, and any device used to access the Service.
You are responsible for all activities occurring through your Account, whether or not authorized by you.
If you suspect unauthorized access to your Account, you must notify MIS LLC promptly.
MIS LLC is not responsible for losses arising from your failure to maintain the confidentiality or security of your Account credentials.
We reserve the right to require password changes, suspend access, or implement additional authentication measures whenever reasonably necessary to protect the security of the Service or its users.
9. User Representations and Warranties
By using the Service, you represent and warrant that:
- all information you provide is truthful, accurate, and complete;
- you will maintain accurate information throughout your use of the Service;
- you own or have all necessary rights to any User Content you submit;
- your use of the Service will comply with all applicable federal, state, local, and international laws;
- you will not use the Service for any unlawful, fraudulent, deceptive, abusive, or harmful purpose;
- you will not infringe the intellectual property or privacy rights of any third party; and
- your use of the Service will not interfere with the operation, security, or integrity of the Service.
You acknowledge that MIS LLC relies on these representations in providing the Service.
10. Community Standards
Good Crossings is intended to foster respectful, inclusive, and meaningful interactions.
All users are expected to engage with others in a courteous, honest, and lawful manner.
MIS LLC may publish Community Standards from time to time addressing acceptable conduct, safety practices, content moderation, and prohibited behavior.
Such Community Standards are incorporated into these Terms by reference.
Failure to comply with the Community Standards may result in warnings, content removal, feature restrictions, suspension, or termination of your Account.
Nothing in these Terms obligates MIS LLC to monitor all user activity or communications.
11. Amendments to These Terms
MIS LLC may modify these Terms from time to time to reflect changes in the law, technology, business operations, or the Service.
When material changes are made, we will provide notice through the Service, by email, or by other reasonable means.
The revised Terms will become effective on the date specified in the updated version.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to the revised Terms, you must discontinue use of the Service and close your Account.
12. Acceptable Use
The Service is intended to facilitate lawful, respectful, and meaningful social interactions among adults. You agree to use the Service only in accordance with these Terms, applicable law, and any Community Standards published by MIS LLC.
You agree to use the Service responsibly and in a manner that does not interfere with the rights of other users or the operation of the Service.
You may use the Service only for its intended purposes.
13. Prohibited Conduct
You agree that you will not, directly or indirectly, engage in any of the following activities.
A. Illegal Activities
You may not use the Service to:
- violate any federal, state, local, or international law;
- promote or facilitate criminal conduct;
- commit fraud or identity theft;
- engage in money laundering;
- evade economic sanctions or export restrictions;
- traffic in illegal goods or services;
- facilitate terrorism or organized criminal activity;
- exploit or abuse another person;

- solicit illegal transactions; or
- otherwise use the Service for any unlawful purpose.
B. Harassment and Abuse
You may not:

- stalk or repeatedly contact another user after being asked to stop;
- bully or intimidate others;

- encourage violence;
- promote terrorism or violent extremism;
- encourage self-harm or suicide;
- sexually harass another user;
- post revenge pornography;
- disclose another person's confidential information without authorization;
- dox another individual; or
- otherwise engage in abusive conduct.
MIS LLC reserves the right to remove any content that reasonably appears abusive, threatening, unlawful, or harmful.
C. False Information and Impersonation
You may not:
- impersonate another individual;
- impersonate a public official;
- create fake accounts;
- misrepresent your identity;
- misrepresent your age;
- use stolen photographs;
- falsely claim professional credentials;
- falsely claim educational qualifications;
- misrepresent your interests for deceptive purposes;
- create accounts using fictitious information intended to deceive other users.
D. Fraudulent Conduct
You may not use the Service to:
- solicit investments;
- conduct pyramid or Ponzi schemes;
- solicit donations through deception;
- impersonate businesses;
- conduct phishing attacks;
- collect financial account information;
- obtain passwords;
- obtain government identification numbers;
- engage in romance scams;
- solicit cryptocurrency through fraudulent means;
- solicit employment through deceptive practices.
E. Spam and Unsolicited Communications
You may not:
- send unsolicited commercial messages;
- distribute advertisements unrelated to the Service;
- use bulk messaging software;
- repeatedly contact users after communication has been declined;
- distribute chain letters;
- distribute malicious links;
- promote unrelated products or services;
- harvest email addresses.
F. Security Violations
You agree not to:
- upload malware;
- distribute viruses;
- transmit ransomware;
- interfere with Service operations;
- bypass security controls;
- probe vulnerabilities;
- perform penetration testing without written authorization;
- attempt unauthorized access;
- overload servers;
- interfere with other users' access;
- circumvent authentication mechanisms.
G. Automated Access
Unless expressly authorized in writing by MIS LLC, you may not:
- use bots;
- use spiders;
- use crawlers;
- use scraping software;
- use browser automation;
- use robotic process automation;
- use automated account creation tools;
- use automated messaging tools;
- automate profile viewing;
- automate communications.
H. AI and Machine Learning Restrictions
Without prior written authorization from MIS LLC, you may not use any portion of the Service or its content to:
- train artificial intelligence systems;
- fine-tune large language models;
- create machine learning datasets;
- evaluate AI systems;
- develop recommendation engines;
- build competing products;
- develop foundation models;
- create embeddings;
- harvest user-generated content for AI purposes.
You further agree not to use the Service to generate synthetic profiles or automated interactions intended to mislead users.
I. Reverse Engineering
You may not:
- reverse engineer the Service;
- decompile software;
- disassemble software;
- derive source code;
- bypass technological protection measures;
- decode APIs;
- copy proprietary algorithms;
- reproduce recommendation methodologies.
J. Commercial Exploitation
Except as expressly authorized, you may not:
- resell access to the Service;
- sublicense accounts;
- lease accounts;
- operate commercial matchmaking services using the Service;
- use the Service for competitive intelligence;
- benchmark proprietary technology;
- mirror the website;
- frame portions of the website;
- create derivative social networking platforms.
K. Circumvention
You may not attempt to circumvent:
- account restrictions;
- suspensions;
- feature limitations;
- geographic restrictions;
- subscription controls;
- security measures;
- moderation systems.
14. User Safety
MIS LLC is committed to promoting a respectful online community.
However, the Service is an online platform that facilitates introductions between independent users.
MIS LLC does not supervise communications between users and cannot guarantee the conduct, honesty, identity, intentions, or safety of any individual using the Service.
Users remain solely responsible for determining:
- whether to communicate with another user;
- what personal information to disclose;
- whether to meet another person;
- when and where to meet;
- whether continued interaction is appropriate.
Users are strongly encouraged to:
- meet only in public places;
- inform friends or family before meeting someone;
- avoid sharing sensitive financial information;
- exercise sound judgment;
- discontinue communications that appear suspicious.
15. Identity Verification
Unless expressly stated otherwise, verification does not constitute a guarantee regarding:
- identity;
- honesty;
- criminal history;
- employment;
- education;
- financial condition;
- reputation;
- intentions;
- future conduct.
Unless specifically disclosed, MIS LLC does not conduct comprehensive criminal background checks on every user.
Users remain responsible for exercising independent judgment.
16. User-to-User Communications and Meetings
The Service serves solely as a platform for facilitating communications.
MIS LLC is not a party to communications or agreements between users.
Any interaction between users occurs solely at the users' own risk.
MIS LLC has no obligation to:
- supervise communications;
- mediate disputes;
- investigate disagreements;
- resolve personal conflicts;
- monitor in-person meetings.
Users are solely responsible for their interactions, agreements, transactions, and decisions.
17. User-to-User Disputes and Release
To the fullest extent permitted by applicable law, MIS LLC shall not be responsible for disputes between users.
You release MIS LLC, its members, managers, officers, employees, contractors, affiliates, licensors, successors, and agents from any claims, demands, damages, liabilities, costs, or expenses arising out of or relating to:
- communications between users;
- meetings between users;
- contracts between users;
- friendships;
- professional relationships;
- volunteer activities;
- mentorships;
- networking opportunities;
- business relationships;
- personal injuries;
- property damage;
- emotional distress;
- economic loss.
If you are a California resident, you waive California Civil Code §1542 to the fullest extent permitted by law, which provides that a general release does not extend to claims that the releasing party does not know or suspect to exist at the time of executing the release.
18. Recommendations and Matching Disclaimer
The Service may use algorithms or other processes to suggest connections, activities, communities, or other recommendations.
These recommendations are provided solely as informational tools.
MIS LLC makes no representation or warranty regarding:
- compatibility;
- suitability;
- trustworthiness;
- safety;
- qualifications;
- shared interests;
- successful interactions;
- future relationships.
Automated recommendations should not be interpreted as endorsements or guarantees.
Users remain solely responsible for evaluating every interaction.
19. Anti-Scraping and Data Protection
The content, databases, recommendation systems, user profiles, metadata, and other information contained within the Service constitute valuable proprietary assets.
Without prior written consent from MIS LLC, you shall not:
- scrape the Service;
- copy databases;
- harvest user information;
- systematically download profiles;
- extract metadata;
- create competing databases;
- use automated tools to collect content;
- archive substantial portions of the Service;
- reproduce recommendation data.
Unauthorized collection of user information may violate applicable privacy, intellectual property, and computer fraud laws.
MIS LLC reserves all rights to pursue legal remedies for unauthorized data collection.
20. Export Controls, Sanctions, and Third-Party Services
You represent that you are not:
- located in a country subject to comprehensive U.S. sanctions;
- listed on any U.S. government restricted party list;
- prohibited from receiving U.S. goods or services under applicable export control laws.
You agree to comply with all applicable U.S. export control, sanctions, and trade laws.
The Service may incorporate products or services provided by third parties, including payment processors, cloud hosting providers, communication platforms, authentication providers, analytics providers, mapping services, artificial intelligence providers, and mobile application marketplaces.
MIS LLC does not own or control these third-party services and is not responsible for their availability, security, accuracy, policies, or performance.
Your use of third-party services may be governed by separate agreements with those providers.
References or links to third-party products or services do not constitute an endorsement by MIS LLC.
21. Intellectual Property Rights
21.1 Ownership
The Service, including all software, source code, object code, databases, website design, user interface, visual interfaces, text, graphics, logos, trade dress, trademarks, service marks, business names, domain names, icons, audio, video, photographs, documentation, recommendation systems, matching methodologies, algorithms, artificial intelligence models, machine learning systems, APIs, compilations, and all other content and technology made available through the Service (collectively, the "Company Content") are owned by or licensed to MIS LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Except for the limited license expressly granted in these Terms, no ownership rights are transferred to you.
21.2 Limited License
Subject to your compliance with these Terms, MIS LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for its intended personal, non-commercial purposes.
This license automatically terminates if you violate these Terms or your account is suspended or terminated.
21.3 Restrictions
Except as expressly permitted by these Terms or applicable law, you shall not:
- reproduce the Service;
- distribute Company Content;
- publicly display Company Content;
- publicly perform Company Content;
- modify Company Content;
- create derivative works;
- reverse engineer any software;
- decompile software;
- disassemble software;
- circumvent technological protection measures;
- copy recommendation algorithms;
- reproduce the database;
- sell or license Company Content;
- remove copyright or proprietary notices;
- exploit Company Content for commercial purposes.
Any unauthorized use immediately terminates the license granted under these Terms.
21.4 Trademarks
"Good Crossings," "MIS LLC," and all related names, logos, branding elements, service marks, slogans, graphics, and trade dress are trademarks or proprietary assets of MIS LLC or its licensors.
Nothing contained in these Terms grants any license to use our trademarks without prior written permission.
22. User Content
22.1 Ownership
You retain ownership of the User Content that you submit through the Service.
Nothing in these Terms transfers ownership of your User Content to MIS LLC.
22.2 License Granted to MIS LLC
By submitting User Content, you grant MIS LLC a worldwide, non-exclusive, royalty-free, perpetual (solely with respect to archived or backup copies where legally necessary), transferable, sublicensable license to:
- host;
- store;
- reproduce;
- display;
- transmit;
- publish;
- distribute;
- process;
- analyze;
- index;
- format;
- cache;
- moderate;
- improve;
- secure;
- back up; and
- otherwise use your User Content solely as reasonably necessary to operate, maintain, secure, improve, market, and provide the Service.
This license terminates when your User Content is permanently deleted from the Service, except to the extent:
- copies remain in backup systems;
- retention is required by law;
- the content has been shared with other users consistent with your settings;
- preservation is necessary for legal compliance or dispute resolution.
22.3 Responsibility for User Content
You are solely responsible for all User Content that you upload, post, transmit, or otherwise make available through the Service.
You represent and warrant that:
- you own or control all necessary rights in your User Content;
- your User Content does not infringe any third-party rights;
- your User Content does not violate any law;
- your User Content is accurate to the best of your knowledge;
- your User Content does not contain malicious code.
MIS LLC does not endorse User Content and assumes no responsibility for its accuracy or legality.
22.4 Monitoring and Removal
MIS LLC reserves the right, but assumes no obligation, to:
- review User Content;
- investigate reported content;
- remove or restrict content;
- edit formatting where necessary for technical reasons;
- refuse publication of content;
- preserve evidence for legal purposes;
- cooperate with law enforcement.
Removal of User Content does not create any obligation to restore such content.
23. Feedback
If you submit suggestions, recommendations, feature requests, ideas, comments, improvements, or other feedback concerning the Service ("Feedback"), you agree that:
- the Feedback is provided voluntarily;
- MIS LLC may use the Feedback without restriction;
- MIS LLC owes you no compensation;
- MIS LLC has no confidentiality obligation regarding Feedback unless separately agreed in writing;
- MIS LLC may incorporate the Feedback into its products and services.
You irrevocably assign to MIS LLC all rights necessary to use such Feedback without limitation.
24. Copyright Policy (DMCA)
MIS LLC respects the intellectual property rights of others and expects users to do the same.
If you believe material available through the Service infringes your copyright, you may submit a written notice pursuant to the Digital Millennium Copyright Act ("DMCA") including:
- identification of the copyrighted work;
- identification of the allegedly infringing material;
- sufficient information to locate the material;
- your contact information;
- a statement of good-faith belief that the use is unauthorized;
- a statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner;
- your physical or electronic signature.
DMCA notices should be sent to the email listed below with subject line - Attn. DMCA Agent.
MIS LLC reserves the right to remove allegedly infringing material while investigating a claim.
25. Counter-Notification
If you believe your content was removed in error, you may submit a counter-notification that complies with applicable law.
The counter-notification should include:
- identification of the removed material;
- your contact information;
- a statement under penalty of perjury that you have a good-faith belief the material was removed due to mistake or misidentification;
- your consent to the jurisdiction of the appropriate federal court;
- your physical or electronic signature.
MIS LLC may restore removed content where appropriate after receiving a legally sufficient counter-notification unless the complaining party initiates legal proceedings within the period provided by applicable law.
26. Repeat Infringer Policy
MIS LLC maintains a policy of terminating, in appropriate circumstances, the accounts of users who repeatedly infringe the intellectual property rights of others.
MIS LLC may also suspend or terminate accounts that repeatedly violate these Terms, Community Standards, or applicable law.
27. Payments and Subscriptions
Certain features of the Service may require payment.
Subscription plans, premium services, digital products, and other paid offerings are subject to the pricing displayed at the time of purchase.
By purchasing a subscription, you authorize MIS LLC or its designated payment processor to charge your selected payment method.
Unless otherwise stated:
- subscriptions renew automatically;
- charges occur in advance of each billing cycle;
- pricing may change upon reasonable notice;
- taxes may be added where required by law.
You are responsible for maintaining accurate billing information.
Failure to pay applicable charges may result in suspension or termination of paid features.
Cancellation
You may cancel a subscription at any time through your account settings or by following the instructions provided within the Service.
Unless required by applicable law or expressly stated otherwise:
- cancellation prevents future renewals only;
- previously paid fees are non-refundable;
- access to paid features continues until the end of the current billing period.
Refunds
Except where required by law, all purchases are final.
Refunds are provided only where:
- required by applicable law;
- expressly stated in a promotional offer;
- approved by MIS LLC in its sole discretion.
28. Taxes
You are responsible for all applicable taxes associated with your purchases, except taxes based solely on MIS LLC's income.
Where required by law, MIS LLC or its payment processor may collect and remit applicable sales, use, value-added, or similar taxes.
29. Beta Features
MIS LLC may periodically make available experimental, preview, beta, or early access features.
Beta Features:
- may contain errors;
- may be incomplete;
- may change without notice;
- may be discontinued at any time;
- may not function as expected.
Beta Features are provided "AS IS" without warranties of any kind.
MIS LLC has no obligation to continue supporting Beta Features or to include them in future versions of the Service.
30. Changes to the Service
MIS LLC continually improves and updates the Service.
Accordingly, we reserve the right, at any time and without liability, to:
- modify features;
- add or remove functionality;
- introduce new products;
- discontinue products;
- update algorithms;
- improve security;
- perform maintenance;
- modify subscription offerings;
- redesign user interfaces;
- change compatibility requirements.
We will use commercially reasonable efforts to minimize disruptions but do not guarantee uninterrupted availability of the Service.
Nothing in these Terms shall be interpreted as creating an obligation for MIS LLC to continue offering any particular feature or functionality.
31. User Assumption of Risk
Your use of the Service is entirely voluntary and at your own risk.
You acknowledge that communicating with individuals online and meeting them in person involves inherent and unavoidable risks, including risks that cannot be eliminated through reasonable care.
Those risks may include, without limitation:
- misrepresentation by other users;
- fraud or deception;
- identity theft;
- harassment;
- stalking;
- discrimination;
- offensive conduct;
- theft or property damage;
- emotional distress;
- physical injury;
- assault;
- criminal conduct;
- financial loss;
- disclosure of personal information;
- cyberattacks or phishing schemes.
MIS LLC does not control the actions of users and cannot guarantee that every user is honest, trustworthy, compatible, or safe.
You are solely responsible for evaluating whether to communicate with or meet another user and for taking appropriate precautions.
32. No Guarantee of Introductions or Outcomes
The Service is designed to facilitate introductions based upon user-supplied information, interests, preferences, activities, and other factors.
MIS LLC does not guarantee:
- friendships;
- social relationships;
- mentorships;
- networking opportunities;
- employment opportunities;
- volunteer opportunities;
- compatibility;
- successful communications;
- successful meetings;
- continued relationships;
- business opportunities;
- romantic relationships;
- personal satisfaction; or
- any particular outcome.
Any recommendations generated by the Service are informational only and should not be interpreted as endorsements, certifications, or guarantees.
The absence or presence of a recommendation does not reflect MIS LLC's opinion regarding any user.
33. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
MIS LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- SECURITY;
- QUIET ENJOYMENT; AND
- ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, MIS LLC DOES NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE;
- THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;
- ERRORS WILL BE CORRECTED;
- DEFECTS WILL BE FIXED;
- SERVERS WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
- COMMUNICATIONS WILL ALWAYS BE DELIVERED;
- USER INFORMATION WILL ALWAYS BE ACCURATE;
- USERS ARE WHO THEY CLAIM TO BE;
- THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.
MIS LLC DOES NOT WARRANT THE ACCURACY OF USER-GENERATED CONTENT OR THE CONDUCT OF USERS.
No oral or written advice provided by MIS LLC shall create any warranty not expressly stated in these Terms.
34. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIS LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SUCCESSORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- EXEMPLARY DAMAGES;
- PUNITIVE DAMAGES;
- LOSS OF PROFITS;
- LOSS OF REVENUE;
- LOSS OF BUSINESS OPPORTUNITIES;
- LOSS OF GOODWILL;
- LOSS OF DATA;
- BUSINESS INTERRUPTION;
- LOSS OF REPUTATION; OR
- OTHER INTANGIBLE LOSSES,
ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, statute, or otherwise.
Maximum Liability
To the fullest extent permitted by law, MIS LLC's total cumulative liability for all claims arising out of or relating to the Service shall not exceed the greater of:
- the total amount paid by you to MIS LLC during the twelve (12) months immediately preceding the event giving rise to the claim; or
- One Hundred United States Dollars (US $100.00).
Some jurisdictions do not permit certain limitations of liability. In such jurisdictions, the foregoing limitations shall apply only to the extent permitted by law.
35. User Release
To the fullest extent permitted by applicable law, you release and forever discharge MIS LLC and its members, managers, officers, employees, contractors, affiliates, licensors, successors, and agents from any and all claims, demands, actions, liabilities, damages, costs, and expenses arising out of or relating to:
- your communications with other users;
- meetings arranged through the Service;
- transactions between users;
- personal disagreements;
- professional relationships;
- mentorships;
- volunteer activities;
- business opportunities;
- networking relationships;
- friendships;
- emotional distress;
- bodily injury;
- property damage;
- financial loss;
- acts or omissions of other users.
This release applies whether the claim is known or unknown at the time of your acceptance of these Terms, to the extent permitted by law.
36. California Civil Code §1542 Waiver
If you are a resident of California, you expressly waive the protections of California Civil Code §1542, which provides:
"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."
You acknowledge that you understand the significance of this waiver and voluntarily assume the risk of unknown claims to the extent permitted by applicable law.
37. Indemnification
You agree to defend, indemnify, and hold harmless MIS LLC, its members, managers, officers, directors, employees, contractors, affiliates, licensors, successors, agents, and service providers from and against any and all claims, actions, proceedings, investigations, liabilities, judgments, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:
- your use of the Service;
- your User Content;
- your violation of these Terms;
- your violation of applicable law;
- your infringement of any intellectual property, privacy, publicity, or other rights of another person;
- your interactions with other users;
- fraudulent, negligent, reckless, or intentional misconduct by you; or
- any breach of your representations or warranties.
MIS LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification. You agree to cooperate fully in the defense of such matters.
38. Force Majeure
MIS LLC shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including:
- natural disasters;
- acts of God;
- fire;
- flood;
- earthquake;
- severe weather;
- epidemic or pandemic;
- war;
- terrorism;
- civil unrest;
- labor disputes;
- governmental actions;
- utility failures;
- internet outages;
- telecommunications failures;
- cyberattacks;
- denial-of-service attacks;
- failures of cloud service providers;
- failures of payment processors; or
- other events beyond the reasonable control of MIS LLC.
Performance shall be suspended for the duration of the force majeure event.
39. Suspension and Termination
MIS LLC may, in its sole discretion and without prior notice where reasonably necessary, suspend, restrict, or terminate your access to the Service if:
- you violate these Terms;
- you violate applicable law;
- you engage in fraudulent conduct;
- your actions threaten the security or integrity of the Service;
- your conduct creates risk or potential legal liability for MIS LLC or other users;
- your account remains inactive for an extended period, subject to applicable law and our data retention practices;
- required by law or governmental authority.
Where appropriate, MIS LLC may issue a warning or temporarily suspend an account before permanent termination, but is not obligated to do so.
You may terminate your account at any time by following the account deletion process within the Service.
40. Effect of Termination and Survival
Effect of Termination
Upon termination of your account:
- your right to access and use the Service immediately ends;
- your licenses under these Terms terminate, except as expressly stated otherwise;
- MIS LLC may delete or anonymize your account information in accordance with applicable law and its Privacy Policy;
- certain User Content already shared with other users or retained for legal, security, backup, or operational purposes may continue to exist;
- any outstanding payment obligations remain due and payable.
Termination of your account does not affect any rights or obligations that accrued before termination.
Survival
The following provisions shall survive termination of these Terms or your account:
- Intellectual Property Rights;
- User Content License (to the extent applicable);
- Feedback License;
- Payments and Outstanding Fees;
- Disclaimer of Warranties;
- Limitation of Liability;
- User Release;
- California Civil Code §1542 Waiver;
- Indemnification;
- Governing Law;
- Arbitration Agreement;
- Class Action Waiver;
- Jury Trial Waiver;
- Confidentiality Obligations;
- Time Limitation for Claims; and
- any other provision that, by its nature, is intended to survive termination.
41. Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except as expressly provided in these Terms, you and MIS LLC agree that any dispute, claim, controversy, or cause of action arising out of or relating to:
- these Terms;
- the Service;
- your Account;
- any subscription or purchase;
- your use of the Service;
- communications with MIS LLC;
- communications with other users through the Service;
- the Privacy Policy;
- any advertising, marketing, or promotional materials relating to the Service; or
- the relationship between you and MIS LLC,
whether based in contract, tort, statute, fraud, misrepresentation, negligence, strict liability, or any other legal theory, shall be resolved exclusively by final and binding arbitration rather than in court, except as expressly provided herein.
This arbitration agreement shall survive termination of your account and these Terms.
42. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
The arbitration provisions contained herein shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16, which preempts any inconsistent state law regarding the enforceability of arbitration agreements.
43. Informal Dispute Resolution
Before initiating arbitration or filing any lawsuit permitted under these Terms, either party must first attempt to resolve the dispute informally.
The party initiating the dispute shall provide written notice including:
- the claimant's full name;
- contact information;
- account email address (if applicable);
- a description of the dispute;
- supporting documentation;
- the legal basis for the claim;
- the relief requested.

The parties agree to participate in good-faith negotiations for thirty (30) days following receipt of the notice.
No arbitration may be commenced until this informal dispute resolution process has concluded unless immediate injunctive relief is necessary.
44. Arbitration Procedure
If the dispute is not resolved informally, it shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules then in effect, except as modified by these Terms.
The arbitrator shall:
- be a licensed attorney or retired judge experienced in commercial disputes;
- have authority to award any relief available under applicable law;
- issue a written decision explaining the essential findings and conclusions.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court having jurisdiction.
45. Delegation Clause
You and MIS LLC agree that the arbitrator, and not any court, shall have the exclusive authority to resolve any dispute relating to:
- the interpretation of this arbitration agreement;
- the enforceability of this arbitration agreement;
- the formation of this arbitration agreement;
- whether a dispute is subject to arbitration;
- the scope of this arbitration agreement;
- whether all or part of this arbitration agreement is void or voidable.
This delegation provision applies to the fullest extent permitted by applicable law.
If a court determines that this delegation provision is unenforceable, the remaining provisions of this arbitration agreement shall remain in effect to the fullest extent permitted by law.
46. Individual Arbitration Only
YOU AND MIS LLC AGREE THAT ALL CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.
Neither party shall:
- bring claims as a class representative;
- participate as a class member;
- act as a private attorney general;
- pursue representative claims;
- consolidate claims with those of another person.
The arbitrator shall have no authority to:
- certify a class;
- conduct class arbitration;
- hear consolidated proceedings;
- award relief to persons who are not parties to the arbitration.
If any portion of this section is held unenforceable, only that specific portion shall be severed.
47. Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, BOTH PARTIES KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
This waiver applies regardless of whether the claim proceeds in arbitration or in court under a recognized exception.
48. Mass Arbitration
To promote the efficient resolution of disputes, if twenty-five (25) or more substantially similar arbitration demands are filed against MIS LLC by the same law firm or coordinated group of law firms within a 180-day period, the parties agree that:
- the demands shall be administered in batches determined by the arbitration administrator;
- only one batch shall proceed at a time unless otherwise agreed;
- the statute of limitations shall be tolled for claims awaiting arbitration;
- the arbitrator may establish reasonable procedures for efficient administration consistent with due process and applicable arbitration rules.
Nothing in this section limits the arbitrator's authority where prohibited by applicable law or the AAA Consumer Arbitration Rules.
49. Confidentiality of Arbitration
Unless disclosure is required by law, court order, or to enforce or challenge an arbitration award, the parties agree to keep confidential:
- the existence of the arbitration;
- documents exchanged during arbitration;
- testimony;
- evidence;
- rulings;
- awards; and
- settlement discussions.
This confidentiality obligation survives completion of the arbitration proceeding.
50. Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in:
(a) Small Claims Court
Claims that qualify for small claims court may be brought in an appropriate small claims court, provided the matter remains on an individual basis.
(b) Injunctive or Equitable Relief
MIS LLC may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect:
- intellectual property rights;
- confidential information;
- trade secrets;
- website security;
- user safety;
- proprietary technology;
- databases;
- trademarks;
- copyrighted materials.
Seeking such relief shall not waive the right to arbitrate all remaining claims.
51. Venue, Limitation Period, Severability, and Survival
Venue for Court Proceedings
If any dispute is determined not to be subject to arbitration, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located in the State of New Jersey, and each party irrevocably submits to the personal jurisdiction of those courts.
Limitation Period
To the fullest extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the claim first arose. Claims not commenced within that period are permanently barred.
This limitation does not apply where prohibited by law.
Severability
If any provision of this Arbitration Agreement is determined to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
If the class action waiver is held unenforceable with respect to a particular claim, that claim shall proceed in court, while all remaining claims shall remain subject to arbitration to the fullest extent permitted by law.
Survival
This Arbitration Agreement survives:
- termination of your account;
- termination of these Terms;
- any transfer of rights or obligations;
- bankruptcy;
- assignment;
- completion of your use of the Service.
52. Notices
Except where prohibited by applicable law, you consent to receive all notices from MIS LLC electronically.
Notices may be provided by:
- email sent to the address associated with your Account;
- notifications posted within the Service;
- publication on the Service;
- text message;
- postal mail, where required by law.
You are responsible for maintaining accurate contact information.
Electronic notices are deemed received:
- immediately upon posting within the Service;
- when transmitted by email unless the sender receives a notice of non-delivery;
- when delivered by any other electronic communication method reasonably designed to reach you.

53. Electronic Communications
By using the Service, you consent to receive electronic communications from MIS LLC, including:
- legal notices;
- account notifications;
- password reset messages;
- security alerts;
- billing notices;
- subscription renewals;
- customer service communications;
- updates to these Terms;
- Privacy Policy updates;
- service announcements.
These communications satisfy any legal requirement that such communications be provided in writing.
You may opt out of promotional marketing emails at any time by using the unsubscribe mechanism provided in those communications. However, you may not opt out of transactional or legally required communications relating to your account or the Service.
54. Assignment
You may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms without the prior written consent of MIS LLC.
Any attempted assignment in violation of this section shall be null and void.
MIS LLC may assign or transfer these Terms, in whole or in part, without your consent in connection with:
- a merger;
- acquisition;
- corporate reorganization;
- sale of assets;
- financing transaction;
- bankruptcy proceeding; or
- change in control.
These Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
55. No Agency or Partnership
Nothing contained in these Terms shall be construed to create any:
- partnership;
- joint venture;
- franchise;
- employment relationship;
- fiduciary relationship;
- agency relationship; or
- representative relationship
between you and MIS LLC.
You have no authority to bind MIS LLC or incur obligations on its behalf.
56. Reservation of Rights
MIS LLC reserves all rights not expressly granted under these Terms.
Nothing contained in these Terms shall be interpreted as granting any implied license or right under any intellectual property law.
MIS LLC reserves the right to:
- investigate suspected violations;
- monitor compliance with these Terms to the extent reasonably necessary;
- cooperate with law enforcement;
- modify or discontinue any portion of the Service;
- refuse service to any person consistent with applicable law.
57. Geographic Availability
The Service is intended for use only in jurisdictions where its operation is lawful.
MIS LLC makes no representation that the Service is appropriate or available in every jurisdiction.
We reserve the right to:
- restrict access by geographic location;
- suspend access from particular countries or regions;
- refuse registration where prohibited by law;
- implement technical restrictions necessary to comply with legal or regulatory requirements.
Users are responsible for ensuring that their use of the Service complies with the laws of the jurisdiction from which they access the Service.
58. Export Control and Sanctions Compliance
The Service is subject to United States export control and economic sanctions laws.
You represent and warrant that:
- you are not located in a country or territory subject to comprehensive U.S. sanctions;
- you are not identified on any U.S. government list of prohibited or restricted parties;
- you will not use the Service in violation of applicable export control or sanctions laws.
You may not export, re-export, transfer, or otherwise make available the Service in violation of applicable law.
MIS LLC reserves the right to suspend or terminate access where necessary to comply with applicable sanctions or export control requirements.
59. Entire Agreement
These Terms, together with the Privacy Policy, Community Standards, and any additional policies expressly incorporated by reference, constitute the complete and exclusive agreement between you and MIS LLC regarding the Service.
These Terms supersede all prior or contemporaneous:
- negotiations;
- discussions;
- proposals;
- understandings;
- representations; and
- agreements,
whether written or oral, relating to the Service.
60. Waiver
The failure of MIS LLC to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
Any waiver shall be effective only if made in writing and signed by an authorized representative of MIS LLC.
A waiver of any breach shall not constitute a waiver of any subsequent or continuing breach.
61. Severability
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed from these Terms.
The remaining provisions shall remain in full force and effect.
The invalidity of one provision shall not affect the validity or enforceability of any other provision.
62. Interpretation
The section headings contained in these Terms are provided solely for convenience and shall not affect the interpretation of any provision.
Unless the context clearly requires otherwise:
- the words "including," "include," and "includes" mean "including without limitation";
- the singular includes the plural and vice versa;
- references to "law" include statutes, regulations, and judicial decisions;
- references to one gender include all genders.
Any ambiguity in these Terms shall not be construed against either party solely because that party drafted or proposed the provision.
